1. Purpose & Confidentiality Obligation
The Disclosing Party (TechVentures Inc.) agrees to share confidential business, technical, and financial information with the Receiving Party (Apex Digital Solutions LLC). The Receiving Party agrees to maintain absolute confidentiality for a duration of 3 Years from the Effective Date.
2. Intellectual Property Rights
All work product, code, documents, and deliverables developed during this engagement shall be subject to: Full Transfer upon Final Payment. Neither party shall retain unauthorized copies without written permission.
3. Termination & Notice
Either party may terminate this Agreement by providing 14 Days advance written notice to the other party's registered address. Upon termination, all confidential materials must be returned or destroyed.
4. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of State of California, USA. Any legal action or proceeding arising under this Agreement will be brought exclusively in courts located therein.
